Direct Counsel is proud to partner with a leading AmLaw 100 national law firm in its search for a Business Transactions Associate (3–5 years of experience) to join its high-performing team in Dallas, TX . This is an outstanding opportunity to work on complex, high-profile matters for major clients across a wide range of industries.
Position OverviewAs a member of the firm’s Business Transactions Group , the successful candidate will primarily support the Mergers & Acquisitions (M&A) practice, working closely with regional, national, and multinational clients. The team handles a variety of corporate transactions—including buy- and sell-side M&A , recapitalizations , joint ventures , partnerships , and capital raises , primarily in the private markets .
Clients include public and private companies, private equity firms, and family offices. This is an excellent opportunity for a proactive associate with strong training and deal experience, who is eager to take on meaningful responsibilities, including client interaction and running transactions, all while being supported by a tight-knit, collaborative team of partners and associates.
Qualifications3–5 years of experience in corporate and commercial transactions , with a focus on M&A .
Strong working knowledge of general corporate law , including entity formation , governance , and choice of entity .
Experience managing complex workloads and multiple transactions in a fast-paced environment.
Exposure to additional corporate matters such as joint ventures , corporate governance , partnerships , and commercial contracts .
Private equity and/or capital markets experience is a plus.
Debt financing experience is also a plus.
Excellent oral and written communication skills with a strong attention to detail.
Team-oriented, with strong interpersonal skills and a commitment to working in a collaborative, cross-office environment.
Active membership in the Texas Bar .
